This unit covers a selection of topics in financial services law, laying particular emphasis on the economic and social context in which the regulation of financial services takes place. Throughout, the focus will be on English law, but a comparative aspect will be introduced where appropriate. Topics covered include nature and function(s) of financial services; justifications for and methods of regulation; regulatory framework established by the Financial Services and Markets Act 2000; the role of the regulatory bodies, in particular the Financial Services Authority; the public distribution of securities; substantial acquisitions - takeovers and the market for corporate control; market abuses; financial diversification (conflicts of interest and systemic risk).
